Commercial Attorney (Consumer Beverage Experience)

The Position
A fast-growing beverage company is seeking a Commercial Counsel to advise on distributor agreements. This is a cross-functional, advisory role partnering closely with sales to provide guidance on key contractual terms, including termination, buyouts, IP and trademark rights, and brand use and marketing control.

Candidates must have significant experience advising on distributor agreements. The ideal candidate will have experience working within a multi-tier beverage system or at a beverage company operating in that structure, and will understand the practical and legal complexities that come with distributor relationships in that environment. This person should also be comfortable working cross-functionally with sales and leadership, providing practical, business-oriented legal guidance.

This project starts ASAP, 20 hours per month, fully remote, for an estimated 3-month duration. 

The hourly rate for this assignment is expected to be between $100 and $110 This range is an estimate; an employee’s compensation will be based on the employee’s qualifications, skillset, and relevant experience, specific client needs, project requirements, and other considerations permitted by law.

Our client, a large tech company, is seeking a contractor to provide six months of maternity leave coverage for their team. The role is expected to be full-time (40 hours per week) and the team is hoping to bring someone on as soon as possible.

They are particularly interested in candidates with experience working with AI or agent technologies, specifically those who have supported AI-related products in their most recent role. Product development experience is key, ideally supporting teams building or deploying AI-driven products. The contractor will work closely with the internal product team to support ongoing development initiatives during the coverage period.

The Position
Our client, a large publicly traded technology company headquartered in the Bay Area, is seeking an experienced Commercial / Technology Transactions Attorney to join its legal team. In this role, the attorney will own complex commercial transactions end-to-end, including drafting, negotiating, and structuring highly customized agreements that support strategic business initiatives. The role requires a sophisticated drafter who can translate business intent into clear, precise legal language and exercise strong judgment in fast-moving, high-stakes deal environments.

The ideal candidate brings rigorous transactional training (big law or equivalent) and significant experience negotiating and drafting complex commercial agreements, including technology, data, privacy, brand, and collaboration-based arrangements. While prior partnership-style deal experience is helpful, it is not required; the client is primarily seeking a strong deal lawyer with demonstrated ability to handle bespoke transactions, preserve legal intent across revisions, and manage details with a high degree of accuracy.

Candidates should be collaborative, business-minded attorneys who are comfortable owning deals independently and working closely with cross-functional stakeholders. The ideal candidate communicates clearly and pragmatically, exercises strong judgment, and can be trusted to manage transactions end-to-end with minimal oversight. Position Summary:
We are hiring a founding BDR team with clear paths to AE, sales leadership, or other growth areas based on performance and interest. You'll be our founding BDR, building the outbound engine that will fuel Paragon’s next phase of growth.

Reporting to the VP of Sales, you will have the opportunity to play a key role in prospecting new business for the company.  Our ideal candidate is someone who can communicate effectively with sophisticated stakeholders by exhibiting a strong sense of maturity, confidence, curiosity, and professionalism, and possesses the hustle to thrive in an entrepreneurial environment.  We're hiring exceptional humans who happen to be interested in sales.  We’ve seen top performers come straight from school or investment banking, teaching, consulting, or customer success – anywhere excellence and hustle intersect.

Responsibilities:

  • Strategically researching/identifying potential client contacts and generating high-quality meetings
  • Evangelizing Paragon’s business model to prospective clients and booking high-quality meetings

  • Identifying ICP patterns and document winning playbooks

  • Driving business through outbound phone calls, preparing and sending highly tailored, personalized, and relevant e-mails to prospective clients specific to their role and practice area

  • Successfully diagnosing the client’s key business needs to ensure the first sales meeting leads to high-value opportunities and revenue

  • Maintaining and logging all sales touch points within HubSpot

  • Building the foundational skills for a successful career in sales or sales management

Qualifications:

  • Goal-oriented with a drive to routinely exceed monthly activity metrics (cold calls, emails, LinkedIn messages)

  • Exemplary work ethic 

  • Excellent written and verbal communication skills

  • Poise, confidence, and maturity to interact with senior clients at Fortune 500 companies

Compensation:
The annual salary for the Business Development Representative is a base salary of $50,000 with an expected OTE of $80,000.  This range is an estimate; an employee’s compensation will be based on the employee’s qualifications, skillset and relevant experience, and other considerations permitted by law.

Our client is a leading enterprise technology company that provides cloud-based software solutions to state and local governments. They are looking for an experienced attorney to step into a high-impact, revenue-facing role supporting SaaS deal negotiations and helping drive deals to close in partnership with Sales.

This role is highly business-facing and focused on moving deals efficiently while applying practical risk judgment across areas like licensing, IP, privacy, and security. The ideal candidate will have strong SaaS experience and be comfortable working directly with Sales teams in a fast-paced environment. The Position
A leading global technology company in the semiconductor space is seeking a senior commercial attorney to support its sales organization during a period of rapid growth until a full-time hire is identified. Responsibilities include drafting, reviewing, and negotiating a range of agreements, including NDAs, purchase and sales agreements, licensing, and equipment rental contracts; the majority of which will be on third-party paper. This role will partner closely with internal business stakeholders and interact directly with customers, including mid to senior-level executives.

The ideal candidate is a seasoned attorney with strong sell-side experience, a background in tech hardware, and the ability to operate independently in a fast-paced, high-volume environment. This person brings strong executive presence, sound judgment, and the ability to navigate ambiguity while effectively managing priorities and communicating with senior stakeholders.

Targeting a 4/27 start, 40 hours per week, for an estimated 3-6 month duration. This role is fully remote and must support Pacific Time working hours, with a strong preference for West Coast-based candidates. Candidates local to the Bay Area, Orange County, CA, or Boise, ID are a strong plus.

The Position
Our client is a social networking and online dating company, best known for its mobile app that primarily serves the LGBTQ+ community. They are seeking a Legal Operations professional with a strong procurement focus to support the rollout of a new procurement system. This role will play a critical part in keeping contract intake and routing workflows moving during a high-impact transition.

In this position, you will review incoming contract requests, identify key considerations such as payment terms or data usage, and route matters to the appropriate stakeholders including Legal, Privacy, and Finance teams. This is not a negotiation role, but rather a coordination-heavy position requiring strong judgment, attention to detail, and consistent follow-through.

Candidates must have hands-on experience with the Zip procurement tool, as this role is focused on supporting its implementation and early-stage workflows. Experience with additional procurement systems such as Coupa or Oracle is a plus. A background in legal operations or procurement, along with strong project management and stakeholder management skills, is essential.

This project starts ASAP, is approximately 2 months in duration, is fully remote, and requires 20–30 hours per week.

The ideal candidate has strong experience negotiating and drafting vendor and supply agreements, partnering closely with procurement and business teams to align risk tolerance with commercial objectives, and managing privacy and data security terms.

This is a great opportunity for someone who thrives in a fast-paced, startup-like environment and can step in quickly with minimal oversight. Hebrew fluency is a must have.

This project starts ASAP, is 2–3 months in duration, is remote, and requires 10 hours per week guaranteed with flexibility up to 20 hours per week. 

The hourly rate for this assignment is expected to be between $105 and $115. This range is an estimate; an employee’s compensation will be based on the employee’s qualifications, skillset, and relevant experience, specific client needs, project requirements, and other considerations permitted by law.
