Healthcare M&A Attorney (Remote in AK, CA, MT, NM, OR, TX, WA)
The Position
Our client, a not-for-profit healthcare system headquartered in Washington state, is seeking a healthcare transactions attorney to provide support during a leave of absence.
This attorney will draft and negotiate complex transaction documents, including those for strategic affiliations, joint ventures, asset purchases, mergers, financings, internal reorganizations, and related agreements such as NDAs and equity purchase agreements. Ideal candidates will have experience with entity formation, corporate finance, nonprofit and for-profit healthcare transactions; familiarity with start-ups and innovation is a plus.
The role includes supporting mergers, acquisitions, affiliations, and other high-impact transactions. It suits a seasoned attorney with healthcare and nonprofit expertise who thrives in a mission-driven, collaborative setting.
Key responsibilities include:

Serving as transactional counsel from structuring through closing and integration.

Drafting and negotiating documents such as purchase agreements, JV/affiliation agreements, term sheets, and NDAs.

Leading legal due diligence and assessing regulatory risks.

Collaborating with internal legal, operational leaders, and outside counsel.

Advising on compliance issues (e.g., Stark, Anti-Kickback, HIPAA, tax-exempt rules).

Supporting legal analysis related to entity structuring and healthcare delivery models.
This is a full-time (40 hrs/week), fully remote role open to candidates based in CA, WA, OR, NM, TX, MT, or AK. The engagement is expected to last approximately 3 months and is available immediately.
The hourly rate for this assignment is expected to be between $100 and $120. This range is an estimate; an employee’s compensation will be based on the employee’s qualifications, skillset, and relevant experience, specific client needs, project requirements, and other considerations permitted by law.
